Pennpetro Energy PLC - London-based developer of energy projects in Ukraine, US and Canada - Says over the past 7 months, Chief Executive Mavriky Kalugin has been focused on negotiating opportunities that the board believes bring mutual benefit to the company and its partners. The board has focused on those opportunities which bring production and cashflow more immediately, generating revenue whilst other opportunities, more exploratory in nature, are developed over time. The board prefers a diversified geographical approach to mitigate risk of a single licence opportunity in Ukraine and has been actively reviewing a number of opportunities in the US and Canada. At this stage, the board expects that one or more of the available opportunities will be reverse takeovers under the FCA's Listing Rules. Three opportunities, one in Ukraine and two in Oklahoma, US, have reached advanced staged. In order to expedite these projects, RMD will provide short-term debt funding. Pennpetro Energy PLC - London-based developer of energy projects in Ukraine, US and Canada - The High Court of Justice, Business and Property Courts of England and Wales dismisses all claims brought by Jesse White against the company, it says. The judge did not order costs in this case to the company, despite all claims against it being dismissed, but suggested that White in future should "..if possible seek legal advice in relation to potential claims against the company." Pennpetro Energy remains "resolute" to defend any claims brought against it and pursue costs and damages to the "fullest extent, including, where appropriate, security for costs". Executive Co-Chair Richard Spinks says: "We have consistently explained to shareholders that we are working in the best interests of the company and its shareholders. This legal proceeding has unnecessarily cost the company a significant amount of money, funds that could have been deployed elsewhere to create value. However, we have always taken a principled approach to resolving legacy issues, and this judgment vindicates our stance. Pennpetro Energy PLC - London-based developer of "strategic traditional and transition energy projects" in Ukraine, US and Canada - Shareholders at a general meeting on Tuesday narrowly approve board proposals to issue shares but a proposal to waive pre-emption rights fails due to its higher hurdle. Shareholders vote 53% to 47% in favour of both proposals, passing the first. However, the second required a 75% majority. The positive vote on share allotments allows Pennpetro to issue new shares to meet various obligations. Pennpetro shares have been suspended from trading in London since August 2024, and the board last week had said support for the meeting resolutions will "help us accelerate the return to trading - something that we all want". Pennpetro Energy PLC - Texas-focused oil and gas company - Announces that at its annual general meeting, resolutions 2, 8 and special resolution 7 were not passed. Out of eight resolutions, six received less than 80% support. Failed resolution 2 was regarding the re-appointment of chair Stephen Lunn as director to the board, which received around 46% support, with just below 54% votes against. Lunn departs the board, with Chief Executive Officer Richard Spinks assuming the role of interim chair. Other failed resolution 8 was on authorising directors to take action to implement proposals the firm had set out, with 53% votes against. Failed special resolution 7 required a majority of 75% of shares cast in favour, with only around 58% voting in favour, in regard of calling a general meeting on less than 14 clear days' notice. Menzel is chair of commodity trading firm Globalvision International Lda. Back in July last year, Globalvision agreed to buy Pennpetro's Texas-based subsidiary Nobel Petroleum USA Inc in exchange for granting Pennpetro a royalty interest on the Texan oil wells.
