Optima Health PLC - Sheffield, England-based occupational health services provider - Launches open offer to raise up to GBP35.0 million before expenses through the issue of up to 20.0 million shares at 175 pence each. Says it will use net proceeds to repay the GBP30.0 million bridge facility used to partially finance its acquisition of PAM Healthcare Ltd, completed last week. The bridge facility was provided by Deacon Street Partners Ltd, which is controlled by substantial shareholder Michael Ashcroft. Qualifying shareholders will be able to subscribe for open offer shares at the issue price, on the basis of one open offer share for every 4.439 existing ordinary shares. Issue price represents a discount of 2.8% to the closing middle market price of 180p on Monday, and around 18% to the closing price of 213p on February 13, the latest practicable date before the PAM acquisition was announced. Optima Health PLC - Sheffield, England-based occupational health services provider - Chief Financial Officer Heidi Giles will leave the firm on July 31. Optima names Andrew Bones as interim CFO, subject to the completion of its acquisition of PAM Healthcare Ltd, agreed in February. Bones is PAM's current CFO. Optima Health PLC - Sheffield, England-based occupational health services provider - Announces partnership with Perkbox, an employee benefits and rewards platform. Optima Health will deliver a full suite of Employee Assistance Programme, or EAP, and mental health services to Perkbox's clients. Under the agreement, Optima Health will transfer clinical and administrative staff to support the delivery of its technology-driven solutions to Perkbox's clients, with a view to further expand the service offering over time. The five year-contract has a value of GBP6.5 million per year to Optima after an initial implementation period. The contract forms part of the GBP8.3 million annualised new business that was secured or at preferred bidder stage in Optima Health's half-year results. Read More
