ZCCM Investment Holdings PLC - Lusaka-based mining investor - Updates on its proposed listing optimisation project involving its listings on the Lusaka Securities Exchange, Euronext Access Paris and the London Stock Exchange. The company is considering an odd-lot offer for shareholders holding 100 or fewer ZCCM-IH shares. There were 3,637 such shareholders on 20 July, representing around 0.05% of the total shares in issue. Subject to the required approvals and the final terms of the offer, eligible shareholders will have the opportunity to either sell their Odd-Lot holdings to ZCCM-IH for cash or retain their shares," ZCCM says.

Metals One PLC - critical and precious metals project developer and investor with a focus on gold and uranium - Says gross funding of GBP4 million, structured as a non-convertible senior promissory note, has been secured with YA II PN LTD, a fund managed by Yorkville Advisors Global LP, to support its minerals investment and development programmes and general working capital. Metals One will issue warrants to the investor equal to 100% of the value of the promissory note with a strike price equal to 130% of yesterday's closing share price, exercisable for three years. Inclusive of the new funding package, Metals One has over GBP11 million in cash and liquid portfolio investments.

Milton Capital PLC - cash shell - Executes a non-binding term sheet and exclusivity agreement with technology company Apostrophy AG to pursue a share purchase agreement. Apostrophy is partly owned by technology entrepreneur Petter Neby, who wholly owns related company, Punkt Tronics AG. Apostrophy is expected to acquire the telephony assets of Punkt prior to completion of the SPA. Shares are suspended under the FCA's UK Listing Rules. Milton Chair Richard Mays says: "The approach by Apostrophy/Punkt was the stand-out opportunity - an established business and team, a technology business with a global reach; outstanding leadership with a founder with an international track record and, above all else, a company with an exciting vision. MedPal AI PLC - London-based digital health and AI company - Updates on its acquisition of Solid State Technologies Ltd. Says the completion accounts adjustment has been finalised and has been satisfied as to GBP16,547 in cash and as to the balance by the issue of 904,442 new ordinary shares. Based on the closing mid-market price of 5.5 pence per share on September 3, the shares have a value of GBP49,744, giving a total value of the final consideration of GBP66,291 and total consideration for the acquisition of GBP446,633. The additional consideration shares are subject to the same lock-up and orderly market arrangements as the initial consideration shares. Additionally, issues 171,430 new ordinary shares to a member of its management team at 5.0 pence per share in lieu of GBP8,572 in cash.

Gowin New Energy Group Ltd - Cayman Islands-based business with investments in LED-related products, tea trading and agarwood trading - Enters into a NTD200,000, USD6,324.80, loan agreement with Chen Chih-Lung, a substantial shareholder. The interest rate is 2% per annum and the loan is repayable in twelve months, extendable by mutual consent. "The purpose of the loan is to provide short term liquidity to allow the company to satisfy its payment obligations. Mr. Chen will continue to support the company's working capital requirements as and when required," Gowin says.

Baronsmead Venture Trust PLC - UK-focused venture capital trust managed by Gresham House PLC - Says it has discussed the size and structure of the proposed offer for subscription it intends to launch with Baronsmead Second Venture Trust PLC. The company and BSVT are seeking to raise GBP10 million each with the discretion to utilise an over-allotment facility of up to a further GBP7.5 million each.

Union Jack Oil PLC - UK- and US-focused onshore oil and gas company - Following the recommended all-share offer by Reabold Resources PLC, has commenced a review of its assets, liabilities and strategic and financial position, "including considering its position with respect to the offer and the alternatives available to the company and its shareholders." Conclusions will be published next week.

Tetragon Financial Group Ltd - Guernsey-based closed-ended investment company - Modified Dutch auction tender offer concludes with the purchase of 3.57 million non-voting shares at USD14.00 each, worth USD50.0 million total. The tender offer is oversubscribed with 3.79 million shares validly tendered. Sets final proration factor at 87.72% for shares tendered at USD14.00.
