TRADING UPDATES: Connecting Excellence acquisitions, revenue rises

(Alliance News) - The following is a round-up of updates by London-listed companies, issued on Tuesday and not separately reported by Alliance News:

Connecting Excellence Group PLC - Leeds-based international executive recruitment with bitcoin treasury policy - Agrees binding heads of terms in relation to the proposed acquisition of two UK-registered companies, which trade as a single specialist recruitment business under one brand. On a combined and unaudited basis, the targets generated revenue of GBP1.79 million in the twelve months to June 30 2026, up 21.5% on the prior 12 months, gross profit of GBP1.27 million at a 70.9% margin, and earnings before interest, taxes, depreciation and amortisation of GBP431,000. The targets hold 8.216 Bitcoin, which XCE will buy at market value with no premium. Initial cash consideration of GBP575,000 is payable at completion, of which GBP425,000 is applied in settlement of amounts owed to the targets. Says this would return to the group's balance sheet, resulting in a net cash outflow of GBP150,000 before transaction costs. A further GBP60,000 is due in 2028 with the remaining balance of the consideration deferred and based on Ebotda delivery over three years to 2029, with nothing payable below a minimum Ebitda threshold. XCE expects to retain approximately 75% to 85% of cumulative Ebitda over the earn-out period. Additionally, says operating company Spencer Riley records revenue of GBP1.8 million for the 12 months to June 30, up 21% from GBP1.5 million a year prior.

Anemoi International Ltd - British Virgin Islands-based holding company - Subsidiary Swiss RegTech firm ID4 AG signs a initial three-year contract with a major Swiss insurance and pension service provider to deliver "the full digital transformation of its pension client lifecycle management platform." ID4 will deploy its ID4pension SaaS platform as the digital backbone for the client's pension operations, covering the end-to-end client lifecycle from onboarding through to back-office administration and strategy management. The project is structured across several delivery phases which will run until the first half of 2027. "Delivery in 2026 focuses on the foundations of the platform: comprehensive digital onboarding for bespoke, tailored pension clients and seamless integration with the client's portfolio management system. The PMS integration is a key milestone: it connects onboarding directly to portfolio management, replacing fragmented, manual handoffs with a continuous, automated client data flow," company says. In 2027, the scope expands to the full client base, with ID4pension to replace the existing retail onboarding platform with a single, unified onboarding solution covering all client types and distribution channels.

Conroy Gold & Natural Resources PLC - developer of the Irish 'Discs of Gold' project - Says it has received all funds from investors and closed its non-brokered private placement for a total of GBP1.3 million at a price of 8 pence per share. Participants include both existing and new shareholders. Proceeds will be used to further geological work at assets in Ireland, secure material asset-level investment, and for general working capital purposes. Chair John Sherman says: "We are delighted that the Fundraise has closed oversubscribed and I would like to thank both our existing shareholders and the new investors who have joined the register for their strong support. The level of demand, particularly from long-term value investors in North America, is a clear endorsement of the scale and quality of the Company's 'Discs of Gold' project in Ireland. We look forward now to the next phase of exploration at Clontibret and Clay Lake and progressing with our work towards a dual listing on the TSX-Venture Exchange in Canada."

Blencowe Resources PLC - developing the Orom-Cross graphite project in Uganda - Reports "further successful testing of Orom-Cross graphite products within advanced aerospace and defence applications." Says in August, Blencowe, American Energy Technologies Co, Pluto Aerospace, Purdue University and US Government Agencies attend a rocket test programme in Las Cruces, New Mexico. "The successful Pluto Aerospace solid-fuel rocket flight achieved a maximum speed of Mach 5.5 and acceleration approaching 150G, representing a substantial increase in speed and acceleration from the previous test programme undertaken in April. Importantly, Orom-Cross graphite was incorporated across multiple critical components aboard the hypersonic vehicle, including an ablative rocket nozzle insert, performance-enhancing coatings applied to the rocket fins and natural graphite used within the lithium-ion battery powering the rocket's altimeter," Blencowe says.

Harvest Minerals Ltd - Perth-based fertiliser producer, which operates primarily in Brazil's Minas Gerais region -Complets acquisition of Scanty Mineracao Ltda, holders of a portfolio of highly prospective ionic adsorption clay rare earth element projects. "The acquisition, which complements the existing Arapua Rare Earth Project, establishes Harvest as an emerging rare earth exploration company with a portfolio of REE projects across Brazil, one of the world's most prospective jurisdictions for clay-hosted rare earth mineralisation, in addition to the company's Brazilian fertilizer operations," company says. Chair Brian McMaster comments: "The completion of the acquisition of Scanty represents a significant milestone in Harvest's strategy of building a meaningful rare earth business in Brazil. Rather than acquiring a single exploration project, we have assembled a broad portfolio that combines an advanced lead asset with multiple regional exploration opportunities capable of delivering long-term value."

Talisman Metals PLC - developing Tirzzit and Fougnar copper project in Morocco - Announces the successful renewal of licenses 3942418 and 3942419, which comprise its Fougnar Project. This follows successful field work done by Talisman during the first half of 2026. Both licenses are valid until May 8 2030 and are eligible for conversion to exploitation status under Moroccan mining legislation and regulations.

World Chess PLC - London-based chess promoter and tournament organiser - Applies to the Internet Corporation for Assigned Names and Numbers for .chess, a new generic top-level domain intended to become the internet domain extension for the game of chess. The application is made under an agreement between with chess governing body FIDE, under which FIDE is the institutional sponsor of the TLD and World Chess, through its wholly-owned subsidiary, manages the application and funds all related costs. "If the application is successful, World Chess will operate and manage the top-level domain on behalf of FIDE on an ongoing basis. Under the Agreement, FIDE receives a share of the revenues generated by the TLD, together with an allocation of domains within the extension, including dedicated names for national chess federations," company says. To support the initiative, agrees to receive a GBP350,000 loan with interest of 4% per annum from an existing shareholder. Proceeds will be applied towards the costs of the ICANN application and the planned marketing of the TLD project.

R8 Capital Investments PLC - London-based fintech with a bitcoin banking app - Completes GBP500,000 fundraise, issuing 302.4 million shares via a placing and subscription at an issue price of 0.117 pence per share. Jonathan Rowland and Richard Morecroft have resigned as directors and David Mason and Neil Jeffrey have been appointed as non-executive directors to the board.
