IN BRIEF: Water utility Pennon picks Starling Bank chair as own chair

Pennon Group PLC - Exeter, England-based water utility - Hires David Sproul to be chair, joining the board on July 1 and taking over as chair from Gill Rider after the company's annual general meeting on July 24. Sproul currently is chair of digital-only lender Starling Bank. As an executive, he was global deputy chief executive officer of accountants Deloitte. Sproul will be paid GBP250,000 per year, in line with what Rider was paid. The appointment comes as the UK's water companies are under political pressure over releases of sewage into waterways. A consultation on draft pricing decisions for the water sector was pushed back by regulator Ofwat until July 11, after the July 4 general election, having originally been scheduled to be out this week. Pennon Group PLC - Exeter, England-based water utility - The UK Competition & Markets Authority sees "reasonable grounds" to clear Pennon's acquisition of Sutton & East Surrey Group Holdings Ltd, formerly named Sumisho Osaka Gas Water UK Ltd. Pennon agreed to the deal, which has an enterprise value of GBP380 million including debt, in January. The CMA launched a phase 1 merger inquiry into the deal in March and earlier this month said the deal could face a deeper investigation should "acceptable" undertakings not be made by Pennon. On Tuesday, the competition regulator says Pennon has offered to provide reporting for Sutton & East Surrey Water separate from the rest of Pennon. This could address the CMA's concern that the merger will harm water regulator Ofwat's ability to make comparisons between water utilities. The CMA now has until July 16 to decide whether or not to accept Pennon's undertakings. Read More

Pennon Group PLC - Exeter-based water utility - The UK Competition & Markets Authority invites comments on Pennon's agreement to buy Sutton & East Surrey Water PLC, which was announced last month. The CMA had immediately served an initial enforcement order on Pennon in relation to the acquisition. Pennon agreed in January to buy Sumisho Osaka Gas Water UK Ltd and related businesses from Sumitomo Corp and Osaka Gas for GBP89 million, with the deal representing an enterprise value including debt of GBP380 million. Sumisho Osaka owns Sutton & East Surrey Water, or SES Water. The competition watchdog on Tuesday says it has not yet launched a formal investigation into the deal, but it is considering "whether the creation of that situation is likely to prejudice [water industry regulator] Ofwat's ability, in carrying out its functions, to make comparisons between water enterprises."
