IN BRIEF: Ferguson confirms establishment of new corporate structure
Ferguson PLC - Wokingham, England-based heating and plumbing products distributor - Says it is in the best interests of the company to establish a new corporate structure, which was first proposed in December. Says the new corporate structure would be achieved through a merger process by which Ferguson would become a direct wholly owned subsidiary of a new Delaware, US-based company, US TopCo. US TopCo would list its common stock on both the New York Stock Exchange and the London Stock Exchange. Ferguson shareholders would receive one new US TopCo share for each company share held.
