The Annual General Meeting of Volati AB ("Volati") held on 29 April 2026 resolved to distribute all of Volati's shares in its subsidiary Salix Group AB ("Salix Group") to Volati's ordinary shareholders and to authorise Volati's Board of Directors to determine the record date for the distribution. Volati's Board of Directors has today resolved that the record date for the distribution shall be 11 June 2026. A prospectus regarding the admission to trading of the shares in Salix Group on Nasdaq Stockholm has today been approved by the Swedish Financial Supervisory Authority (Finansinspektionen) and the first day of trading in the shares of Salix Group is expected to be 15 June 2026.
All shares held by Volati in its subsidiary Salix Group will be distributed to Volati's ordinary shareholders, whereby one (1) ordinary share in Volati entitles the holder to one (1) share in Salix Group. Registered ordinary shareholders in Volati on the record date for the distribution do not need to take any action in order to receive shares in Salix Group. The last day of trading in Volati's ordinary shares including the right to receive shares in Salix Group is 9 June 2026. From 10 June 2026, Volati's ordinary shares will be traded without the right to receive shares in Salix Group.
The prospectus (available in Swedish), which has today been approved by the Swedish Financial Supervisory Authority, is available on Volati's website, www.volati.se, and on Salix Group's website, www.salixgroup.se.
Nasdaq Stockholm has determined that Salix Group meets the listing requirements. Nasdaq Stockholm will approve an application for admission to trading provided that customary conditions are met. The first day of trading in the shares of Salix Group is expected to be 15 June 2026. The shares of Salix Group will be traded under the ticker symbol SALIX and have the ISIN code SE0028329540.
