CLN Conversion and Allotment of New Shares

Total Voting Rights

Pineapple Power Corporation PLC (the “Company”) announces the allotment of 62,000,000 new ordinary £0.001 shares following the conversion of outstanding Convertible Loan Notes (“CLNs).

On 29th June 2026, the Company announced that it had raised £300,000 through the issue of CLNs with a conversion price of £0.0025.

Application has been made for the new ordinary shares to be admitted to trading on the Main Market of the London Stock Exchange and admission is expected to occur on or about 1 October 2026.

Following this allotment, the Company has £134,000 outstanding in CLNs, convertible into 53,600,000 CLNs.

Total Voting Rights

Following the issue of the new ordinary shares, the Company confirms that as at the date of this announcement the Company has 156,932,877 ordinary shares of £0.001 in issue, with each ordinary share carrying the right to one vote. The Company does not hold any ordinary shares in treasury.

The above figure of 156,932,877 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
