Result of Annual General Meeting

Cykel AI PLC (LSE: CYKL) is pleased to announce that all resolutions proposed at the Annual General Meeting ("AGM") held earlier today at the offices of Fladgate LLP, 16 Great Queen Street, London WC2B 5DG were duly passed.

The resolutions passed at the AGM were as follows:

Ordinary Resolutions

1. To receive the audited consolidated accounts for the financial period ended 31 January 2026.

2. To reappoint Kreston Reeves Audit LLP as auditor of the Company.

3. To authorise the directors to determine the auditor's remuneration.

4. To reappoint Gerald Tritt as a director of the Company.

5. To authorise the directors to allot shares pursuant to section 551 of the Companies Act 2006.

Special Resolutions

6. To authorise the directors to allot equity securities for cash on a non-pre-emptive basis pursuant to section 570 of the Companies Act 2006.

7. To authorise the Company to call general meetings, other than annual general meetings, on not less than 14 clear days' notice.
