PURCHASE OF SHARES

The Company has been notified by the Trustee of the GB Group plc Employee Benefit Trust ('EBT') that the EBT has purchased 133,811 ordinary shares of 2.5p in the Company on 22 June 2026 at an average price of £1.86 per share.

The shares will be held in the EBT, which is a discretionary trust for the benefit of employees of the Company and its subsidiaries, including the Executive Directors of the Company.

Following this transaction, a total of 239,118 shares, representing 0.10% of the Company's total voting rights, are held in the EBT.
