We refer to the securitisation transaction of the Issuer and the issuance of the Notes described in the prospectus of the Issuer dated 21 April 2026 (the "Prospectus"). Capitalised terms used but not defined in this notice will have the same meaning given to them in the Prospectus.
First Payment Warranty
The Mortgage Sale Agreement contains a Loan Warranty that, as at the relevant sale date, "At least one Monthly Instalment due in respect of each Loan has been paid by the relevant Borrower" (the "First Payment Warranty").
The First Payment Warranty was included to satisfy the following requirements of SECN 2.2.13R in relation to designation of the transaction as a UK STS securitisation:
"The debtors must, at the time the exposures are transferred, have made at least one payment."
The commercial parties agreed the First Payment Warranty should be drafted by reference to the Borrower having made at least one contractual payment under the Loan. However, in error the First Payment Warranty was drafted by reference to the first Monthly Instalment, which is defined as the relevant monthly payment due by the Borrower under the Mortgage Conditions. As a result, it has been identified that there were 87 Loans sold by the Seller to the Issuer with an aggregate principal balance of £30,852,424.78, where the Borrower had made their first contractual payment under the Loan, but had not (at the time of sale) made their first Monthly Instalment under the Loan. This constituted a breach of the First Payment Warranty.
All Borrowers made their first Monthly Instalment under the relevant Loans within the applicable remedy period under the Transaction Documents. The Issuer considers the breach capable of remedy and has been remedied. The Issuer does not consider that the breach described in this notice impacts the designation of the transaction described in the Prospectus as a 'simple, transparent and standardised' securitisation.
Waiver
The Issuer has requested and the Note Trustee has agreed (in accordance with the provisions of the Trust Deed and the Conditions) to waive the breach of the First Payment Warranty set out in this notice (the "Waiver").
Notification to Noteholders
Pursuant to Condition 13.8 (Notification of modifications, waivers, authorisations or determinations) and Certificate Condition 12.8 (Notification of modifications, waivers, authorisations or determinations), the Issuer hereby notifies the Noteholders and Certificateholders of the Waiver.
