Notice of Special Meeting of Stockholders
Somero Enterprises, Inc. (AIM: SOM) announces that a Special Meeting of Stockholders of the Company will be held at the Company’s Headquarters located at 14530 Global Parkway, Fort Myers, Florida 33913 U.S.A on 10 November 2026 at 9:00 am local time.
As previously announced, at the meeting, a resolution will be proposed to amend the Company’s Certificate of Incorporation to reclassify the Board from three classes with three-year staggered re-election terms for directors to two classes with two-year staggered re-election terms for directors.
The Notice of the Meeting will be posted to shareholders shortly and will be available on the Company's website: https://investors.somero.com/
The Board of Directors of the Company have also approved the adoption of amended Bylaws of the Company, subject to stockholder approval of the proposed amendment to the Company's Certificate of Incorporation at the Special Meeting of Stockholders. As previously announced, the amended Bylaws will implement a move from plurality voting to majority voting in uncontested director elections, implemented consistent with Delaware law and practice.
