PUBLICATION OF SHAREHOLDER CIRCULAR

Whitbread PLC announces the publication of a Shareholder Circular containing a notice of general meeting which is being posted to shareholders today. The notice convenes a general meeting requisitioned by Corvex Management LP (“Corvex”) to consider a resolution to appoint a new director, selected by Corvex, to the Whitbread Board.

The Shareholder Circular also sets out the Board’s unanimous recommendation to VOTE AGAINST the Corvex resolution at the general meeting and the reasons for such recommendation.

The general meeting will be held at Whitbread Court, Houghton Hall Business Park, Porz Avenue, Dunstable, Bedfordshire, LU5 5XE on 9 November 2026 at 1pm. Full details of how to vote on the Corvex resolution are contained in the Shareholder Circular.

A copy of the Shareholder Circular will shortly be submitted to the National Storage Mechanism and will be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism. The Shareholder Circular will also shortly be available on Whitbread’s website at www.whitbread.co.uk.
