Notice of General Meeting

Further to the announcement on 14 September 2026, Technology Minerals Plc (LSE: MNTL), the UK listed company focused on building national resource and manufacturing resilience, announces that a General Meeting (“GM”) will be held at 11:30am on 19 October 2026 at Oberon Capital Limited, 6 Duke Street St James’s, 2nd Floor, London SW1Y 6BN.

The circular containing the Notice of GM, the full text of the resolutions, an explanation of each resolution, the proposed new articles marked to show the changes, and the Form of Proxy have been posted to shareholders. Copies are available on the Company’s website at https://mantleresilience.com

The purpose of the GM is to consider four resolutions. Resolution 1 will be proposed as an ordinary resolution. Resolutions 2, 3 and 4 will be proposed as special resolutions.

Resolution 1 seeks authority under section 551 of the Companies Act 2006 for the Directors to allot ordinary shares, and to grant rights to subscribe for or convert securities into shares, up to an aggregate nominal amount of £12,268,409 (equivalent to 24,536,818,055 ordinary shares of £0.0005 each). The authority would replace existing unused authorities and would expire at the next annual general meeting or, if earlier, 15 months after the GM. As at 23 September 2026 the Company had 13,179,520,967 ordinary shares in issue and no shares in treasury. The Board is seeking the enlarged headroom to give the Company capacity to complete investments, acquisitions and partnerships in line with the Mantle strategy without waiting for a further annual general meeting.

Resolution 2 would adopt new articles of association and redesignate as Deferred Shares of £0.0005 each the 3,144,394,215 issued ordinary shares that the Directors have designated as A Ordinary Shares following the subdivision approved at the annual general meeting on 17 July 2026. The Deferred Shares would have no voting rights, no right to dividends and only a negligible right to capital on a winding up. They are not expected to be admitted to trading or to have any market value. Existing holders from before the subdivision would, if the resolution is passed, hold the same number of voting ordinary shares as they held immediately before the annual general meeting, together with one Deferred Share for each such former ordinary share. The new articles would also record that a general meeting may be convened on not less than 14 clear days’ notice, subject always to the Companies Act 2006 (including section 307A in relation to a traded company).

Resolution 3 would change the Company’s name from Technology Minerals Plc to Mantle Resilience Plc, consistent with the trading name announced on 14 September 2026.

Resolution 4 is conditional on Resolution 1. It would authorise the Directors, under section 570 of the Act, to allot equity securities for cash as if the statutory pre-emption rights in section 561 did not apply, up to the same aggregate nominal amount of £12,268,409 (approximately 1.86 times the issued ordinary share capital as at 23 September 2026). That authority would expire at the same time as the authority in Resolution 1.

The Board considers the resolutions to be in the best interests of the Company and of shareholders as a whole and unanimously recommends that shareholders vote in favour, as each of the Directors intends to do in respect of his or her own beneficial holdings.
