2026 - Notice of AGM - Change of Format

Carclo plc ("Carclo" or the "Company") announces that it has published its Notice of 2026 Annual General Meeting (AGM), which is to be held at 09:30 am on Wednesday 09 September 2026 at Carberry Tower Mansion House, Carberry Tower Estate, Musselburgh, EH21 8PY.

Copies of the Notice of 2026 Annual General Meeting and related documents have been published on the Company's website at https://www.carclo.co.uk/investor and have been made available to shareholders. In accordance with UK Listing Rule 6.4.1R, copies of these documents have also been submitted to the National Storage Mechanism and will shortly be available for inspection.

Due to a change in circumstances, the AGM will now be held in person with an audio-streamed functionality available for Shareholders to attend online, via the London Stock Exchange Sparklive platform. Shareholders who wish to participate in the live audio broadcast of the AGM should register for the event in advance via the Sparklive registration link: www. sparklive.lseg.com. Shareholders who already follow Carclo plc on the platform will be invited automatically. Except for this change, all other details as previously indicated, including the date, time and physical venue, remain unchanged. 

Shareholders wishing to vote are strongly encouraged to appoint a proxy and submit their proxy appointment to the Company's registrar, Equiniti, by no later than 9:30 a.m. on 07 September 2026, whether or not they intend to attend the AGM in person. All resolutions will be put to a vote on a poll, and each shareholder has one vote for every ordinary share held. The appointment of a proxy will not prevent a shareholder from attending and voting in person at the AGM should they wish to do so. Any proxy appointment already validly made in respect of the AGM remains valid and need not be resubmitted, unless the shareholder wishes to revoke or vary it, in which case a new appointment must be submitted by the deadline stated above.

Shareholders attending the AGM online via the London Stock Exchange Sparklive platform, will not be able to vote online during the AGM and are therefore urged to submit their votes via proxy as early as possible.

Shareholders who wish to ask questions relating to the business of the AGM may submit them in advance by email to [email protected]. To ensure a response is received before the AGM, questions should be submitted by no later than 5:00 p.m. on 26 August 2026. Shareholders attending in person will also have the right to ask questions at the meeting in accordance with section 319A of the Companies Act 2006.
