Notice of Annual General Meeting and Rule 9 Waiver

Further to the announcement made on 29 April 2026 in relation to the Notice of Annual General Meeting and Rule 9 Waiver, Sherborne Investors (Guernsey) C Limited (the "Company") wishes to make the following supplemental disclosure in relation to the chain of ownership set out in the Notice of Annual General Meeting and Rule 9 Waiver published on 29 April 2026.

· Sherborne Investors Management LP is interested in 209,750,000 shares of the Company as a result of acting in concert with Sherborne Strategic Fund G, LLC, which beneficially owns 209,750,000 shares of the Company.

· Sherborne Investors Management LP also acts as the investment manager of SIGC LLC and as a result SIGC LLC is treated as having an interest in the same 209,750,000 shares of the Company.

· The Company holds an interest in SIGC LLC, which being a customary interest in a Delaware incorporated LLC, does not confer control of SIGC LLC.

· SIGC LLC holds an interest in Sherborne Strategic Fund G, LLC, which being a customary interest in a Delaware incorporated LLC, does not confer control of Sherborne Strategic Fund G, LLC.

· Sherborne Investors Management GP, LLC is the general partner of Sherborne Investors Management LP.

· Edward Bramson and Stephen Welker are the managing directors of Sherborne Investors Management GP, LLC.

Sherborne Investors Management LP is currently interested in shares which in the aggregate carry more than 30% of voting rights but not more than 50% of the voting rights of the Company, and accordingly Sherborne Investors Management LP or its concert parties can no longer acquire more shares in the Company without triggering the provisions of Rule 9 of the Takeover Code.

A table showing the respective interests in shares of the Company as of the date of this announcement and on exercise of the Proposed Buyback Authority as contemplated in the Notice of Annual General Meeting and Rule 9 Waiver in full is set out below.
