Issue of Equity and Total Voting Rights

Red Capital Plc (LEI: 213800O4A398G6GL7270), whose ordinary shares of £0.01 each are admitted to the equity shares (shell companies) category of the Official List maintained by the Financial Conduct Authority (the "FCA") announces that, following the Company's announcement on 27 April 2026 regarding its proposed fundraise and strategic transition, 1,500,000 new ordinary shares of £0.01 each in the capital of the Company (the "New Ordinary Shares") will be issued and allotted upon admission to trading on the Main Market of the London Stock Exchange ("LSE") ("Admission"). The New Ordinary Shares relate to the first tranche of the proposed fundraise, which has been completed using existing share issuance authorities.

Application for Admission has been made to the LSE. It is anticipated that Admission will become effective, and that dealings in the New Ordinary Shares will commence, at 8.00 a.m. (London time) on 6 May 2026.

The New Ordinary Shares, when issued, will be credited as fully paid and rank pari passu in all respects with the existing ordinary shares of the Company.

Following Admission, the Company's issued share capital will consist of 11,500,000 ordinary shares, each carrying one voting right. The Company holds no shares in treasury. Accordingly, following Admission, the total number of voting rights in the Company will be 11,500,000.

The above figure of 11,500,000 may be used by shareholders, following Admission, as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
