Step-Up Coupon Amortising Notes due 2035

This announcement relates to the issuance by the Republic of Ghana ("Ghana") of additional Step-Up Coupon Amortising Notes due 2035 (the "2035 Notes") and 1.5% Amortising Notes due 2037 (the "2037 Notes" and, together with the 2035 Notes, the "Tap Notes") in connection with the exchange (the "Exchange") of the U.S.$253,189,000 aggregate principal amount of 12.5% Senior Secured Amortising Bonds due 2026 (ISIN: XS1136935506, Common Code: 113693550) issued by Saderea Designated Activity Company.
Ghana is pleased to announce that the Exchange became effective on the date of this notice and Tap Notes issued as follows:
U.S.$116,124,195 in aggregate principal amount of 2035 Notes
U.S.$38,865,091 in aggregate principal amount of 2037 Notes
Admission to Listing and the Official List
The Republic of Ghana hereby notifies the following in respect of the Tap Notes:
(i) application has been made for the Tap Notes to be admitted to trading on the London Stock Exchange Main Market and admission is expected on 10 July 2026;
(ii) following such admission of the Tap Notes, 2035 Notes in an aggregate principal amount of U.S.$4,251,877,898 and 2037 Notes in an aggregate principal amount of U.S.$1,171,385,995 will be admitted to trading;
(iii) the Tap Notes are fungible with the existing 2035 Notes and 2037 Notes (respectively);
(iv) the 2035 Notes and the 2037 Notes are admitted to the Official List maintained by the Financial Conduct Authority; and
(v) no prospectus has been published in relation to the Tap Notes.
