Issue of 2028 ZDP Shares

The Board of UIL Finance announces that it has approved the issue of 5,000,000 new 2028 ZDP Shares to UIL at a price per share equal to the accrued capital entitlement of a 2028 ZDP Share at the date of issue (expected to be 135.1p based on admission on 10 September 2026). UIL will hold the new 2028 ZDP Shares as an investment and intends to make the shares available for sale in response to market demand.

An application will be made to the London Stock Exchange for 5,000,000 2028 ZDP Shares to be admitted to trading on the London Stock Exchange's main market for listed securities and it is expected that admission will become effective on 10 September 2026. Following admission, there will be 30,000,000 2028 ZDP Shares in issue. The 2028 ZDP Shares do not carry any voting rights at general meetings of UIL Finance.
