Instalco: Resolutions adopted at the annual general meeting of Instalco AB (publ)

Instalco AB (publ) ("Instalco" or the "company") today held its annual general meeting. The annual general meeting resolved in accordance with all proposals of the board and the nomination committee.

Adoption of income statements and balance sheets, and resolution on dividendThe annual general meeting adopted the income statements and the balance sheets for the parent company and the group and resolved on a dividend of SEK 0.50 per share. The record date for the dividend is Thursday, 7 May 2026, and payment is expected to be made on Tuesday, 12 May 2026.

Resolution on discharge from liability, election of the board and determination of remuneration to the boardThe annual general meeting resolved on the discharge from liability of the directors of the board and the CEO for the financial year 2025.

The annual general meeting resolved to re-elect Johnny Alvarsson, Carina Edblad, Per Leopoldsson, Carina Qvarng¥rd, Per Sj¶strand, Ulf Wretskog and Camilla -berg as directors of the board. Johnny Alvarsson was elected as chair of the board.

The annual general meeting resolved on remuneration to the directors of the board in an amount of SEK 700,000 to the chair of the board and SEK 350,000 each to the other directors of the board who are not employed by the company, SEK 165,000 to the chair of the audit committee and SEK 82,500 each to the other members of the audit committee.

Election of auditor and determination of remuneration to the auditorsThe annual general meeting resolved to re-elect the accounting firm Grant Thornton Sweden AB as auditor for the period until the end of the next annual general meeting and that remuneration to the auditor shall be paid in accordance with approved invoice. Ida Sparrfeldt is the new auditor-in-charge.

Approval of the remuneration reportThe annual general meeting resolved to approve the board's remuneration report for the financial year 2025.

Approval of guidelines for remuneration to the senior managementThe annual general meeting resolved to approve the board of directors' proposed guidelines for remuneration to the senior management.

Resolution on a long-term incentive programme consisting of warrantsThe annual general meeting resolved to implement a long-term incentive programme consisting of warrants, whereby members of the senior management, excluding the CEO, and other key employees are offered the opportunity to acquire warrants in the company. The resolution entails a directed issue of a maximum of 1,950,000 warrants to the company and subsequent transfer of the warrants to the participants in the programme. Each warrant entitles the holder to subscribe for one new share in the company during the period from 21 May 2029 up to and including 15 June 2029. The subscription price per share shall correspond to 115 per cent of the volume weighted average price of the company's share during the period from 11 May 2026 up to and including 18 May 2026.

Resolution on authorisation for the board to resolve to issue shares, convertible bonds and/or warrants and on acquisitions and transfers of own sharesThe annual general meeting resolved to authorise the board to resolve to issue shares, convertible bonds and warrants, as well as acquisitions and transfers of own shares. The total number of shares that (a) are issued, (b) are added through conversion of convertible bonds, or (c) are added by exercising warrants issued under the authorisation shall not exceed ten (10) per cent of the total number of shares in the company as of the date of the resolution of the annual general meeting. Acquisitions may be made of a maximum number of shares so that the company's holding of own shares after the acquisition amounts to a maximum of five (5) per cent of all outstanding shares in the company. Transfers may be made of own shares held by the company at the board's transfer decision. Issues and transfers may be made with deviation from the shareholders' preferential rights in accordance with the terms of the respective authorisation.
