ISSUER CALL NOTICE (SECURITYHOLDERS)

HARP Issuer PLC (the "Issuer")with respect to the EUA Linked Securities of each Tranche of the UBS European Physical Carbon ETC (ISIN: XS2651539681) (the "EUA Linked Securities")

issued pursuant to its Secured EUA Linked Issuance Programme

IMPORTANT NOTICE TO SECURITYHOLDERS

Capitalised terms used herein and not specifically defined will bear the same meanings as in the terms and conditions of the EUA Linked Securities (the "Conditions").

The EUA Linked Securities of each Tranche of the Series were constituted pursuant to a constituting instrument dated 23 May 2024 and issued under the terms of the relevant Final Terms in respect of each such Tranche (as amended and/or restated from time to time).

Pursuant to Condition 9(b)(xii) (Issuer Call Redemption Event), the Issuer has given notice to the Transaction Parties (the form of which is annexed) and hereby gives notice to the Securityholders of its election to redeem all the EUA Linked Securities of each Tranche of the Series and its designation of 18 May 2026 as the Early Redemption Commencement Date. This notification, together with the notice given by the Issuer to the Transaction Parties on the date hereof, shall constitute an Issuer Call Notice in respect of the EUA Linked Securities.

In accordance with the Conditions, an Early Redemption Event will occur on the Early Redemption Commencement Date specified above and the EUA Linked Securities of each Tranche of the Series will become due and payable at their Early Redemption Amount on the Early Redemption Date, which is expected to be the earlier of (i) the third Business Day following the date on which the EUA Disposal Agent confirms the liquidation of all the Underlying EUAs and (ii) the third Business Day following the final day of the Early Redemption Disposal Period.

In accordance with Condition 9(d) (Publication of Early Redemption Amount or Final Redemption Amount), the Issuer or the Calculation Agent (or an agent on its behalf) will publish the determination of the Early Redemption Amount at www.ubs.com/etf (or such other website as may be notified to Securityholders) on or prior to the Early Redemption Date.

The Early Redemption Date is expected to occur on 22 May 2026, as of which date all of the EUA Linked Securities are redeemed in full and its trading is suspended on SIX Swiss Exchange, XETRA and London Stock Exchange. The EUA Linked Securities are to be delisted administratively in accordance with the rules of each respective stock exchange, latest by end of June 2026.
