Annual Financial Report to 31 December 2025 - Replacement

This announcement replaces the announcement of the Company's annual financial report to 31 December 2025 ("Updated Annual Report") (RNS Number 4022K). The Updated Annual Report reflects:

· the Company is not undertaking due diligence on a potential target for acquisition by way of a reverse takeover and no such transaction is in contemplation;

·  the Company entered into indicative non-binding heads of terms in relation to a potential equity subscription of a minimum of £500,000 which is conditional, inter alia, on shareholder approval in order to authorise the Company's directors to issue the resulting ordinary shares.

All other details remain unchanged, and the Updated Annual Report has been published on the Company's website (https://www.r8plc.com/investors/results-reports-presentations) and has been submitted and is available for inspection at the National Storage Mechanism https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
