Director/PDMR Shareholding & Total Voting Rights
Hargreaves Services plc (AIM: HSP) announces the following transactions by certain PDMRs of the Company pursuant to the Tender Offer to Shareholders announced on 27 March 2026. The Participating Directors, being Roger McDowell (Non-Executive Chair), Gordon Banham (Group Chief Executive), Stephen Craigen (Chief Financial Officer), Nigel Halkes (Non-Executive Director), Nicholas Mills (Non-Executive Director) each irrevocably undertook to tender such number of Ordinary Shares as is equal to their individual Basic Entitlement
The following the result of the Tender Offer, the resulting interests of each Participating Director are detailed below:

Total Voting Rights
Following the result of the Tender Offer, 831,304 Ordinary Shares remain in treasury and the total number of voting rights in the Company are 30,704,511. This latter figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
