On 28 July 2026, 3i Group plc (the "Company") was notified that on 28 July 2026 James Hatchley, a Director and person discharging managerial responsibilities transferred:

1. 15,000 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company by way of gift for nil consideration to The Charities Aid Foundation (charity number 268369);

2. 25,000 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company by way of a gift for nil consideration to a third party; and

3. 25,000 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company by way of a gift for nil consideration to a third party.

These transactions took place outside a Trading Venue.
