Axis-Shield PLC15 March 2005 ANNOUNCEMENT TO OSLO STOCK EXCHANGE AND LONDON STOCK EXCHANGE It was today intimated to Axis-Shield plc that Bay Green, Non-Executive Directorof Axis-Shield plc, today purchased 4,100 Ordinary Shares of 35p each ofAxis-Shield plc at a price of 248p per share. This is a beneficial interest andrepresents Bay's entire interest in the Company. In accordance with Listing Rule 16.4 (a) of the United Kingdom Listing AuthorityRules, it is disclosed that Bay Green is a director of RPC Group plc andInvensys PLC. In accordance with Listing Rule 16.4 (b) of the United Kingdom Listing AuthorityRules, no disclosures are required to be made pursuant to 6.F.2 (b) to (g) ofthe Listing Rules. In addition, Axis-Shield plc has received notification today that, as at 10March 2005, Barclays PLC, through various of its legal entities, had an interestin 1,464,097 ordinary shares in Axis-Shield plc, representing 3.02% ofAxis-Shield plc's issued ordinary share capital.
