Director Appointment

MindGym (AIM: MIND), the global provider of human capital and business improvement solutions, announces the appointment of Baroness Joanne Cash to the Board as a Non-Executive Director, with effect from today.

Joanne has previously been a Board director of the Company since March 2011, serving as Non-Executive Chair (including from admission to AIM until July 2021) and more recently as Non-Executive Director, which she stepped down from following the Company’s AGM in July 2024 having not sought re-election at the AGM.

As at the date of this announcement, Joanne, along with her husband Octavius Black, Co-founder and previously Executive Chair of MindGym until August 2026, collectively hold 55.48 per cent of the Company’s total voting rights.

Joanne’s appointment to the Board follows the exercise of her rights as a Substantial Shareholder of the Company under the Relationship Agreement entered into as part of the Company’s admission to AIM in June 2018. Under the terms of the Relationship Agreement, Joanne and Octavius Black together reserve the right to appoint one director to the Board of the Company in so far as they hold, in aggregate, 20 per cent or more of the total voting rights in the Company.

The Board recognises the rights of Joanne to board representation and considers that the involvement of the Company’s majority shareholder in the Board’s considerations under the ongoing strategic review to be of relevance and practical benefit to the Company.

Capitalised terms used but not otherwise defined shall have the meanings given to them in the Company’s Admission Document, published on 25 June 2018.
