Completion of Share Buyback Programme

Rathbones Group Plc ("Rathbones" or the "Company") announces that it has completed its share buyback programme of up to £20m (the "Programme"), which launched on 17 June 2026.

In total, under the Programme, the Company purchased 939,315 Ordinary Shares in aggregate for cancellation. The average price paid per share was £16.221275. All Ordinary Shares acquired under the Programme have been, or will shortly be, cancelled.

The Programme is concluding as Investec's voting and economic interests has reached levels established at completion of the IW&I transaction (29.90% voting interest and 41.25% economic interest). This is in accordance with the parameters that were outlined when the first tranche of the share buyback programme was announced at the Company's interim results for the period to 30 June 2025.

Following completion of the Programme and cancellation of the shares, the issued share capital of the Company will consist of:

• 90,489,844 Ordinary Shares of 5 pence each with voting rights; and

• 17,481,868 Convertible Non-Voting Ordinary Shares of 5 pence each.

The Company does not hold any shares in treasury as at the date of this disclosure.

The Convertible Non-Voting Ordinary Shares do not have voting rights. The total number of voting rights in the Company is therefore 90,489,844 and may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
