CHANGE OF AUDITOR
Digital 9 Infrastructure plc announces that, following a competitive tender process, it has appointed Johnston Carmichael LLP ("Johnston Carmichael") as the Company's external auditor for the financial year ending 31 December 2026.
Johnston Carmichael has been granted Recognised Auditor status by the Jersey Financial Services Commission. The appointment will be subject to shareholder approval at the Company's 2027 Annual General Meeting.
PricewaterhouseCoopers LLP ("PwC") has served as the Company's external auditor since March 2021 and ceased to hold office with effect from 3 September 2026. As the Company is incorporated in Jersey, PwC's cessation has been conducted in accordance with the Companies (Jersey) Law 1991 rather than the Companies Act 2006. In accordance with Article 113B(9) of that Law, PwC has confirmed to the Company that there are no circumstances connected with its ceasing to hold office which it considers should be brought to the notice of the Company's members or creditors.
