on changes in the Board of Directors and Supervisory Board

In accordance with the extraordinary disclosure obligation stipulated under Section 55 of (Hungarian) Act CXX of 2001 on the Capital Market MFB Hungarian Development Bank Private Limited Company (hereinafter: MFB Zrt.) informs the public of the following changes:

According to the resolution of the Founder No. 13/2026. (VI.10.) issued by the exerciser of the ownership rights over MFB Zrt. (hereinafter: The Resolution of the Founder.), as of 10 June 2026, the mandate of Mr. Zsolt Kovács as Chairman and Chief Executive Officer of MFB Zrt. has been terminated.

The exerciser of the ownership rights over MFB Zrt. has appointed Mr. János Gerendás as Chief Executive Officer and member of the Board of Directors of MFB Zrt. as of 11 June 2026.

According to the Resolution of the Founder, the mandate of Ms. Kinga Huray, Mr. Tamás Balás, dr. László Balás-Piri, Mr. Zoltán Zsámboki and Mr. Richárd Sándor Kreutzer as member of the Board of Directors was terminated on June 10, 2026.

The exerciser of the ownership rights over MFB Zrt. has appointed dr. Ágnes Margit Fábián, Mr. György Dercsényi and Mr. András Tótth to act for a 5-year term as member of the Board of Directors of MFB Zrt. as of 11 June 2026.

According to the Resolution of the Founder the mandate of dr. Henriett Emese Jeneiné, Mr. Péter Pataki and Mr. Gergely Gáspár Suppan in the Supervisory Board and in the Audit Committee was terminated on June 10, 2026.

As of 11 June 2026, the exerciser of the ownership rights over MFB Zrt. has appointed dr. Judit Zolnay to act for a 5-year term as Chairman of the Supervisory Board and to act as member the Audit Committee of MFB Zrt.

According to the Resolution of the Founder, dr. Balázs Grenczer has been appointed to act as member of the Supervisory Board and the Audit Committee and dr. Mátyás Zimmer has been appointed to act as member of the Supervisory Board of MFB Zrt. for a 5-year term as of 11 June 2026.
