28th Apr 2026 14:00

28 April 2026

Capita plc â€" Directorate Changes and withdrawal of AGM Resolution

Capita plc (the “Company”) announces the following changes to its Board.

Nneka Abulokwe, OBE has advised the Board of her decision to step down as a Non?Executive Director at the conclusion of the Company’s Annual General Meeting to be held on 18 May 2026 (the “2026 AGM”) to focus on her other board and advisory commitments.

Nneka was appointed to the Board in February 2022 and was appointed Chair of the Company’s Responsible Business Committee and as the Board’s Designated Non?Executive Director for colleague engagement in early 2024.

The Board is pleased to announce the appointment of Emma McGuigan as an Independent Non?Executive Director, with effect from the conclusion of the 2026 AGM.

On appointment, Emma will assume the role of Chair of the Company’s Responsible Business Committee and will serve as the Board’s designated Non?Executive Director for colleague engagement. She will also join the Audit & Risk and Nomination Committees.

Emma brings extensive experience of leading large?scale, technology?enabled change at senior level. She retired from Accenture in 2024 following a career of more than 30 years with the company, during which she held senior global leadership roles across technology and industry and served on Accenture’s Global Management Committee.

Emma currently holds non?executive and advisory roles, including serving on the Digital Advisory Board of Coca?Cola Europacific Partners plc, as a Non?Executive Director of Create Future Studios Ltd and as AI Programme Advisor at the British Computer Society.

Chair comment

David Lowden, Chair of Capita plc, said:

“I would like to thank Nneka for her significant contribution to Capita during an important phase in the Company’s transformation. Through her leadership as Chair of the Responsible Business Committee and her broader contribution across the Board, she has helped strengthen our approach to responsible business, governance, and stakeholder oversight. We are grateful for her insight, challenge and commitment and wish her every success for the future.

I am also delighted to welcome Emma to the Board. She brings deep expertise in technology, transformation and leadership, developed through a long executive career and complemented by a highly relevant non?executive and advisory portfolio. Emma’s experience of supporting organisations through strategic and cultural change will be of significant value as Capita continues its transformation.”

Emma McGuigan said:

“Capita is at an important stage in its transformation, and I am pleased to be joining the Board at this time. I look forward to supporting the Board’s oversight role, including through my responsibilities relating to responsible business and colleague engagement, as the Group continues to evolve.”

Amendment to AGM resolutions

As a result of Nneka Abulokwe’s decision to step down from the Board at the conclusion of the 2026 AGM, the resolution proposing her re?election will be withdrawn. The withdrawal of resolution 7 relating to the re-election of Nneka Abulokwe does not affect the validity of the Notice of Annual General Meeting dated 31 March 2026, nor the validity of the other resolutions to be proposed at the 2026 AGM, which remain unchanged.

There is no further information which is required to be disclosed pursuant to UK Listing Rule 6.4.8 in relation to Emma McGuigan.
