Appointment of Non-Executive Director

Bravura Solutions Limited (AIM:BVS) ("Bravura" or "the Company") is pleased to announce the appointment of Mr. Ian Whiting as a Non Executive Director with immediate effect.

Ian is a Certified Practising Accountant and a Member of the Australian Institute of Company Directors, and holds a Bachelor of Business. He is an experienced company director with extensive expertise in the development, governance and international expansion of enterprise and vertical-market software businesses. He has held senior leadership roles in software organisations across North America and Europe and most recently worked for Constellation Software Inc, where he played a key role in growing a portfolio of software businesses across multiple jurisdictions, significantly expanding both scale and revenue.

The Board believes that his combination of strong financial discipline and operational and strategic leadership will support effective governance at Bravura and contribute to its continued sustainable growth.

Bravura Chair Russell Baskerville said:

His deep understanding of software businesses at scale and his experience supporting growth across international markets will be a valuable addition to the Board as Bravura continues to execute its strategic priorities and create long-term value for shareholders."

The Board notes that Australian fit and proper due diligence enquiries will continue following appointment and, based on the enquiries completed to date, no matter has been identified that would prevent Ian Whiting from being appointed or continuing to act as a director of the Company.

The Company also announces that Sarah Adam-Gedge intends to retire as Independent Non-Executive Director and Chair of the Audit and Risk Management Committee of Bravura at the conclusion of the 2026 Annual General Meeting (AGM), to be held on 3 November 2026. This decision is based on Sarah's desire to manage her board portfolio. Charles Crouchman also intends to retire as Independent Non-Executive Director of Bravura at the conclusion of the AGM.

Ms Adam-Gedge and Mr Crouchman have each served as directors of Bravura since September 2023.

Mr Baskerville added:

As part of our ongoing succession planning process, the Board is actively considering future composition requirements, including diversity objectives and the skills needed to support Bravura's strategy and long-term growth. The Board recognises the importance of diversity in all its forms and will continue to have regard to these considerations in future director appointments."

Mr. Ian Clive Whiting, aged 66, is currently a director of Eroad Limited and has been a director of the companies set out below in the last 5 years. There are no other disclosures to be made.
