Admission of Shares and Total Voting Rights

Carclo plc ("Carclo" or the "Group"), a global precision engineering group that designs, industrialises and manufactures highly reliable solutions for Life Sciences, Aerospace and Safety & Security markets, announces the issue of 487,030 new ordinary shares of 5 pence each ("Ordinary Shares") to satisfy awards granted under the Carclo plc Performance Share Plan 2017 in 2023, which vested on 21 September 2026.

Admission

Application has been made to the London Stock Exchange plc for the 487,030 new Ordinary Shares to be admitted to trading, which is expected to occur on 21 October 2026 ("Admission").

Total voting rights

On Admission, the Company's share capital will comprise 73,906,223 Ordinary Shares. The Company does not hold any shares in treasury. Accordingly, the above figure of 73,906,223 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
