On April 16, 2026, in accordance with the U.S. Securities Exchange Act of 1934, as amended, the Company filed with the U.S. Securities and Exchange Commission (the "SEC") the following:

· 2026 Notice of Annual General Meeting and Definitive Proxy Statement on Schedule 14A (the "Proxy Statement"); and

· Annual Report to Security Holders for the fiscal year ended December 31, 2025 on Form ARS (the "2025 Annual Report", and together with the Proxy Statement, the "Proxy Materials").

Under rules adopted by the SEC, the Company is furnishing the Proxy Materials to our shareholders on the internet rather than mailing printed copies. On or about April 16, 2026, we will mail a notice of internet availability of the Proxy Materials (the "Notice of Availability") to our shareholders as of close of business on the Record Date (April 2, 2026). The Notice of Availability, which was also filed with the SEC on April 16, 2026 and is available to view on the SEC's website at https://www.sec.gov, contains instructions on how to access and review the Proxy Materials on the internet. The Notice of Availability also contains instructions on how to request printed copies of the Proxy Materials free of charge.

The 2025 Annual Report was previously submitted to the U.K. National Storage Mechanism on February 26, 2026 and remains available for inspection at the above address.

A copy of the Company's statutory directors' report and financial statements for the fiscal year ended December 31, 2025 prepared under IFRS as adopted by the European Union for Irish law compliance purposes are also publicly available on the Company's website at https://www.flutter.com/investors/shareholder-information/agm/.
