Small-cap and AIM movers in focus:
----------
Mobico Group PLC, up 12% at 43.95 pence, 12-month range 17.06p-44.74p. The transport operator agrees to a recommended GBP308 million cash takeover by Leita Mobility Ltd, a subsidiary of Autobuses de León, which is jointly owned by the Cosmen family's CMC Group and a fund managed by Asterion Industrial Partners. Under the terms of the deal, shareholders will receive 46p per share, representing a 55% premium to Mobico's closing price of 29.7p on October 20, the last trading day before the offer period began. The acquisition implies an enterprise value of GBP2.32 billion. CMC Group, Mobico's largest shareholder with a stake of around 26%, has been an investor since 2005. The bidder says private ownership would provide greater flexibility to address Mobico's debt burden, improve operational performance and support long-term growth. Mobico's independent directors unanimously recommend the offer, which is expected to be implemented through a court-sanctioned scheme of arrangement.
----------
Predator Oil & Gas Holdings PLC, down 38% at 0.83 pence, 12-month range 0.72p-5.52p. The Jersey-based oil and gas company reports disappointing preliminary testing results from its MOU-6 well in Morocco, with no formation inflow recorded despite successfully perforating a 19.8-metre interval at depths of 825.7 to 845.5 metres. Nitrogen lift recovers only diesel and brine from completion fluids, with Predator identifying a combination of low rock permeability and low gas saturation as the most likely explanation. Final processed logs show substantially lower permeability, gas saturation and porosity than at its MOU-1, MOU-3 and MOU-4 wells. MOU-6 has been suspended pending potential deepening, while further studies will assess the area's unconventional gas potential. Chief Executive Paul Griffiths says the company is "naturally disappointed" that the well has not met pre-drill expectations, but highlights the value of the data collected. Predator will now focus on partner negotiations and preparations for drilling the Snowcap-3 well in Trinidad.
----------
Cloudbreak Discovery PLC, down 37% at 0.23 pence, 12-month range 0.20p-1.30p. The natural resources company reports a narrowed annual pretax loss of GBP1.1 million for the year ended June 30, from GBP2.7 million a year earlier, largely reflecting the absence of significant prior-year impairments. Operating loss widens to GBP1.3 million from GBP608,075, while administrative expenses rise to GBP1.1 million from GBP611,681. Cash increases to GBP1.2 million from GBP53,000 following GBP2.8 million in equity fundraisings. Cloudbreak highlights progress across its three Western Australian gold and copper exploration projects, but warns of material uncertainty over its ability to continue as a going concern, with further funding required to advance exploration.
----------
Neoterra Group PLC, down 15% at 1.15 pence, 12-month range 1.10p-4.78p. The Africa-focused critical minerals explorer reports a widened annual pretax loss of GBP982,000 for the year ended June 30, from GBP943,000 a year earlier, as administrative expenses rise to GBP887,000 from GBP855,000. Basic loss per share narrows to 0.30p from 0.58p. Neoterra highlights progress at its Monte Muambe project in Mozambique, including new fluorspar and gallium mineral resource estimates and the award of USD1.9 million in US government grant funding for its rare earths pre-feasibility study. Since the year-end, its interest in Monte Muambe Mining has increased to 70% from 51%, while the company has applied for a further USD5.0 million grant to expand planned fluorspar production capacity.
