(Alliance News) - Team PLC and WH Ireland Group PLC both on Thursday confirmed that Team has approached WH Ireland about a possible all-share takeover offer.
The announcements by the two UK wealth managers confirmed a report by Sky News late Wednesday.
WH Ireland said Team is considering an offer of 0.195 of a Team share for each WH Ireland share.
Team was quoted at 27.50 pence per share early Thursday in London, so such an offer would value each WH Ireland share at 5.36p. WH Ireland jumped 87% in response, to 2.80p.
Sky had said the offer from Team was expected to value each WH Ireland share at 4p.
Jersey-registered Team currently has a market capitalisation of GBP17 million, while London-based WH Ireland is valued about GBP3 million, giving a combined firm a still-modest GBP20 million market cap.
WH Ireland said its board is evaluating the possible offer, together with its financial advisers.
WH Ireland said Team must confirm its intention to make an offer, or walk away, by December 10, under UK takeover rules, though Team placed that deadline at December 11. The deadline can also be extended with consent.
Last month, shareholders of WH Ireland voted down the proposed GBP1 million sale of its wealth management business to Oberon Investments Group PLC. They also rejected a proposed delisting from the AIM market in London.
