UPDATE: HSBC expects USD1.8 billion gain from Allianz deal

(Alliance News) - Allianz SE and HSBC Holdings PLC on Friday unveiled further details of their Singapore insurance transaction, with HSBC saying the sale is expected to boost its capital position and generate a substantial disposal gain.

Earlier on Friday, Allianz said it had agreed to acquire HSBC Life Singapore and enter into a 15-year exclusive distribution agreement with HSBC in a transaction with a combined consideration of EUR2.0 billion.

HSBC said the sale of its Singapore life and health insurance business to Allianz values the business at SGD2.7 billion, or around USD2.1 billion, with completion expected in the first half of 2027, subject to regulatory approval.

The London-based bank expects the disposal to generate a pretax gain of around USD1.8 billion and increase its common equity tier one ratio by up to 15 basis points following completion.

In addition, HSBC said it will receive an initial SGD200 million, around USD200 million, cash payment when the exclusive 15-year bancassurance distribution agreement begins. The payment will be recognised in income over the life of the agreement, alongside variable performance-related consideration.

HSBC said the transaction follows a strategic review of its Singapore insurance business and forms part of its ongoing simplification strategy, allowing the group to focus on areas where it has stronger competitive advantages.

The bank added it remains committed to Singapore as an international wealth and wholesale banking hub, describing the country as a key market for investment and growth.

Allianz has said the acquisition will strengthen its position in one of Asia's most attractive insurance markets. HSBC Life Singapore generated operating profit of EUR80 million in 2025 and had comprehensive equity of EUR1.2 billion.
