TRADING UPDATES: Ramsdens agrees takeover; Likewise sees strong August

(Alliance News) - The following is a round-up of updates by London-listed companies, issued on Monday and not separately reported by Alliance News:

Ramsdens Holdings PLC - Stockton on Tees, England-based financial services provider and pawnbroker - Shareholders approve the recommended cash acquisition of the company by Chess Bidco Ltd, an indirect wholly owned subsidiary of US-based FirstCash Holdings Inc. In July, Ramsdens agreed a sweetened takeover offer from US pawnbroker FirstCash worth GBP230 million, comprising 675 pence per Ramsdens share in cash, plus up to 9p per share in dividends, valuing Ramsdens at GBP229 million, or GBP232 million including dividends. The revised offer is a 13% premium to the previously agreed 600p-per-share bid.

Likewise Group PLC - Birmingham, England-based floor coverings distributor - Says its intended freehold purchase of a new 60,000 square foot High Bay Distribution Hub in Corby has exchanged. Completion is expected on August 21 for a total consideration of GNP9.57 million. "The additional Distribution Hub in Corby will significantly increase storage, cutting and trunking capacity through the Likewise Floors Logistics Network when it commences operations in January 2027," the company says. Also, notes order intake and invoicing in August "has started strongly, providing the group with increased impetus as we approach the traditionally busier Autumn trade." July sales revenue had risen 23.9% against the previous year. Year-to-date revenue is up 18.3% on a like-for-like basis.

Bluebird Mining Ventures Ltd - British Virgin Islands-based gold streaming, mining and treasury company - Records total net asset value at July 31 of USD1.2 million, up from USD1.1 million a month prior, comprising USD449,059 of streaming NAV and USD727,266 of treasury NAV. BMV's initial Bitcoin streaming investment has generated recurring revenue throughout July and is performing in line with management expectations. Says it continues to develop a zero-upfront-capital streaming model and its structured gold streaming product. Comments: "The company's objective is to develop scalable streaming products across Bitcoin and gold that can generate recurring revenues for BMV. The model is designed to build the company's balance sheet through the accumulation of Bitcoin and gold by providing value-added services, including transaction structuring and access to digital asset payment infrastructure, rather than deploying capital, enabling BMV to acquire streaming interests on a zero-capital expenditure basis."

Fandango Holdings PLC - London-based investment company focused on the industrial and services sectors - Intends to seek admission of its existing issued shares to trading on AIM, conditional upon completion of its proposed transaction. As such, it is applying for the cancellation of its listing from the equity shares (shell companies) category of the Official List of the FCA and the Main Market. In May, Fandango entered into non-binding heads of terms relating to the proposed acquisition of a significant interest in the the Canyon Silver lead, zinc and silver mine in Northern Idaho. Proposes to acquire up to 50% of the shares of the private US company which owns interests in historic patented mining claims located within the Coeur d'Alene Mining District in Shoshone County. "The board believes that AIM, an established growth market for smaller and growing companies, is likely to be a market more appropriate for the expected size, structure and stage of development of the enlarged group following completion of the proposed transaction," the company says.

Plaza Centers NV - Amsterdam-headquartered property investor with interests in Europe and India - Files application for annulment in arbitration proceedings before the International Centre for the Settlement of Investment Disputes initiated by Plaza Centers. The application relates to the award dated April 10 in which the Tribunal dismissed the company's claims on jurisdictional grounds. Says it "continues to assess its position and is considering all available options and next steps." Back in May, Romania's Ministry of Finance began litigation against Plaza Centers related to the Casa Radio/Dambovita Center project in Bucharest. Romania filed a statement of claim last year, requesting to end a 2006 public-private partnership agreement with Plaza Centers, and seeking the return of all project assets to the state. Plaza Centers had filed a statement of defence and a statement of counterclaim, rejecting Romania's claims against the company and seeking compensation in the region of EUR60 million to EUR420 million.

Oxford BioDynamics PLC - Oxford, England-based biotechnology company that develops medical tests - Conditionally raises GBP9.15 million gross pursuant to a placing of 9.15 billion new ordinary shares with new and existing institutional and other investors at an issue price of 0.10 pence per share. Net proceeds will be applied to support its commercial priorities. "The net proceeds of the placing, together with the revenue and other operating income that the company expects to generate over the relevant period through platform services, test sales and potential partnerships, collaborations, licensing or platform deals, are expected to provide the company with at least twelve months of working capital," the firm adds.

Gooch & Housego PLC - Somerset, England-based photonics components and systems manufacturer - Engages with shareholders following votes on two resolutions at its February annual general meeting. The AGM rejected the remuneration committee report, with 53.9% of votes cast against, while a resolution to disapply pre-emption rights received 20.7% opposition. "While the recommended cash acquisition for G&H announced on 16 July 2026 may limit the practical relevance of any future actions, the board remains mindful of shareholder views and has carefully considered the feedback received," it says.
