TRADING UPDATES: Capricorn Energy shareholders approve Genel takeover

(Alliance News) - The following is a round-up of trading updates by London-listed companies, issued on Tuesday and not separately reported by Alliance News:

Alternative Income REIT PLC - real estate investment trust focused on specialised alternative property sectors - As at 1800 BST on Monday, bidder Glenstone REIT PLC says it has received valid acceptances for 1.92 million shares, representing 2.4% of Alternative Income REIT's issued share capital. Glenstone already owns 20.44 million shares, or 25.4% of the company. This includes acceptances for all 1.90 million shares covered by an irrevocable undertaking from director Adam Smith, but none for the 4.52 million shares subject to a letter of intent from Hawksmoor Investment Management. Glenstone's final offer is 71.4 pence per share, comprising 70.0p in cash plus Alternative Income REIT shareholders' entitlement to retain the 1.4p fourth-quarter dividend. The offer requires acceptances representing more than 50% of Alternative Income REIT's voting rights to become unconditional.

Capricorn Energy PLC - Edinburgh-based fuel producer and Genel Energy PLC - exploration and oil production company with production assets in the Kurdistan Region of Iraq, and exploration assets in Oman and Somaliland - Capricorn shareholders approve the recommended cash acquisition by Genel. Capricorn expects the scheme to become effective in the second half of 2026. In July, Genel announced a USD360 million cash offer for Capricorn at USD4.74 per share. This comprises USD3.75 in cash and an intended special dividend of USD0.99.

Neo Energy Metals PLC - owns uranium and gold projects in South Africa - Updates on the regulatory transfer process for the Beatrix 4 shaft mining area in the Free State province. Confirms that the minister of mineral and petroleum resources has granted Sibanye Stillwater Ltd's subsidiary Sibanye Gold Ltd the consent required under section 11 of the Mineral and Petroleum Resources Development Act to take transfer of the Southern Free State mining right from Witwatersrand Gold Consolidated Ltd. Section 11 consent is the first of three regulatory steps required to complete the Neo Energy acquisition of the New Beisa Node. Additionally, says section 102 consents under the MPRDA, relating to the separation of the New Beisa Node from the remainder of the Sibanye Stillwater Beatrix mining operation, have been filed. Neo Energy plans to file a section 11 application to take transfer of the New Beisa Node mining right after the section 102 consents are granted. Chief Executive Officer Theo Botoulas says: "The granting of the Section 11 consent to Sibanye Stillwater is a clear and welcome milestone in the sequential regulatory process for New Beisa, and reflects the constructive engagement between Neo Energy, Sibanye Stillwater and the DMPR. With site access now in place and our assessment programme underway, we are using this period productively to advance our technical and operational readiness ahead of Neo Energy's own Section 11 application. Our objective remains first gold production in December 2027, which is dependent on the results of the implementation assessment".

Seed Capital Solutions PLC - London-based venture capital firm - Agrees to settle up to GBP125,000 in outstanding liabilities to creditors through the issue of new shares and GBP50,000 in cash. Intends to convene a general meeting seeking approval to issue the new shares and undertake an equity fundraise. The board seeks to raise capital sufficient to satisfy ongoing obligations, estimated to be no more than GBP85,000 for the next 12 months, as well as settle certain professional liabilities and provide "some initial capital to pursue suitable acquisition and investment opportunities." Says its broker has indicated its support for the fundraising. Seed Capital will then request that the FCA lift its temporary suspension, on completion of the creditor settlement and fundraising.

Shaires Holdings Ltd - late-stage technology investor formerly known as Jade Road Investments Ltd - Extends the time for retail investors to participate in its WRAP retail offer at USD20.00 per share to August 24 at 4:30 BST. Shares will remain in the capital access window, a temporary pause in trading, until Shaires announces the close of the offer. The offer price represents a discount of 18% to the mid-market closing price on August 12.

Conduit Holdings Ltd - the parent company of Conduit Re, a Bermuda-based reinsurance business - Names Aspen Insurance Holdings Ltd CFO Mark Pickering as CFO and executive director, with effect from November 30. Before joining Aspen, Mark held senior roles at Platinum Underwriters and Marsh McLennan.

Gowin New Energy Group Ltd - Cayman Islands-based business with investments in LED-related products, tea trading and agarwood trading - Says Shu Yi-Hao steps down as chief financial officer due to "commitments arising from other positions he holds." Names Wang Huai-Chung as CFO. Says the new finance chief "has over 30 years of experience in financial management, internal auditing, and corporate finance." Previous experience includes senior positions at China Airlines and Far Eastern Air Transport.
