TRADING UPDATES: AIRE extends Glenstone deadline as nears 50% approval

(Alliance News) - The following is a round-up of updates by London-listed companies, issued on Friday and not separately reported by Alliance News:

Alternative Income REIT PLC - real estate investment trust focused on specialised alternative property sectors - Extends the acceptance deadline to Friday, September 11 for the takeover offer from 25.4%-shareholder Glenstone REIT PLC. AIRE has recommended shareholders do not accept the offer but says it has agreed to the extensions "to avoid the possibility of the outcome...being determined by administrative or processing delays". Late last month, Glenstone asked shareholders to back the 71.4 pence per share offer, comprising 70.0 pence in cash plus AIRE shareholders' entitlement to retain the 1.4 pence fourth-quarter dividend. This follows rival suitor AEW UK REIT PLC's announcement that it would not be making an offer. In July, AIRE had said an alternative offer from AEWU was more attractive, with an implied value of around 77.4p per share. Late Friday, AIRE said 40.2 million shares, representing 49.89% of its share capital, had been counted towards satisfaction of the deal's 50% acceptance condition.

EDX Medical Group PLC - Cambridge, England-based developer of digital diagnostic products and services - Updates on changes in the holdings of Chief Executive Officer Michael Hudson and Chief Scientific Officer Christopher Evans as a result of the dilution from its recent equity fundraising. CEO Hudson continues to hold 20.7 million ordinary shares, which now represent 4.79% of the company's share capital. CSO Evans continues to hold 136.2 million shares, representing 31.6% of the company's share capital, down from 33.1% previously, including an additional 58,770 shares compared with previous notifications. The company says the additional shares reflect "purchases in 2025 and January 2026 that were made on his behalf but that were not notified at the time due to an administrative oversight."

Roebuck Food Group PLC - Dublin-based investor in food and agribusiness sectors - Completes the sale and leaseback of its freehold property in Motherwell for GBP900,000, GBP850,000 net, to an independent Scottish property investment company. The lease is for 10 years with a break in year 5. The agreed annual rent is GBP90,000 per annum for the first 5 years, with the lease guaranteed by Roebuck.

Spire Healthcare Group PLC - London-based private healthcare provider - Extends for the sixth time the put-up-or-shut-up deadline for its second-largest shareholder to make a firm takeover offer or walk away. Back in May, Spire agreed to a non-binding takeover offer from funds advised by Toscafund Asset Management LLP. The proposal of 250 pence per share in cash values Spire at GBP1.01 billion. On Friday, Spire says it has agreed to extend the deadline to September 5 from September 4. Funds advised by Toscafund had an 18.1% stake in Spire as of March. Spire plans to release its interim results by September 30.

Stelrad Group PLC - Rotherham, England-based radiator manufacturer - Non-Executive director Robert Ellis sells 166,734 shares on Thursday at 145.7 pence each for a total of GBP242,981.

CQS Natural Resources Growth & Income PLC - London-based investor, provides exposure to mining and resources - Sells 140,000 shares from treasury at 426.16 pence each, worth GBP596,624.
