LONDON (Alliance News) - Ventus VCT PLC and Ventus 2 VCT PLC said Wednesday they have received notices from shareholders requiring resolutions for significant board changes.
The resolutions are to be added to the companies' forthcoming notice of annual general meeting.
The Ventus VCT resolution would see the removal of Chair David Williams, audit committee Chair Josephine Dixon, and Director Christopher Zeal. These are the only Ventus VCT board members listed on the Ventus Funds website.
The Ventus 2 VCT resolution seeks to remove Chair Alan Moore, Director Paul Thomas, and audit committee Chair Colin Wood. Likewise, these are the only board members of Ventus 2 VCT named on the Ventus Funds website.
In both cases, all three board members are to be replaced with three newly appointed directors.
Both trusts issued identical statements saying: "It is the unanimous opinion of the directors of the company that the resolutions are not in the best interests of the company's shareholders as a whole and should not be passed."
Ventus VCT shares closed untraded at 105.00 pence on Wednesday. Ventus 2 VCT shares closed down 2.1% at 70.00p.
