Metlen demerger moves ahead to consolidate infrastructure activities

(Alliance News) - Metlen Energy & Metals PLC on Monday reported that a draft demerger agreement, which sees the company spinning off part of the business, had been approved.

The Athens-based aluminium producer and electricity generator is demerging assets, liabilities, rights and activities that relate to concession and public-private partnership projects.

Metlen will demerge this part of the business to its wholly-owned subsidiary M Concessions Single-Member SA.

It explained that the move "will facilitate the progressive consolidation of the group's infrastructure activities within a dedicated corporate platform, enabling greater operational focus, the realization of synergies and economies of scale, enhanced financial flexibility and the creation of a stronger growth platform".

Earlier this month, the demerger agreement was approved by Metlen's board, and as of Monday, has been registered with and published in Greece's General Commercial Registry.

Under the terms of the spin-off, the net asset value of M Concessions will rise by approximately EUR105.6 million.

Completion of the demerger requires shareholder approval, which Metlen expects to secure at a meeting on September 30.

Metlen shares closed 0.2% higher at EUR48.56 on Monday in London.
