ConvaTec Group PLC - London-based medical products - Chief Executive Officer Karim Bitar will take a medical leave of absence, Convatec says without providing any further details. Chief Financial Officer Jonny Mason will be interim CEO during Bitar's absence, and Financial Controller Fiona Ryder will be interim CFO. Both joined ConvaTec in January 2022.

Smiths News PLC - Swindon, England-based newspaper and magazine distributor - Hires Richard Clay as CFO, starting by January 30 next year. Clay currently is interim CFO & UK&I group finance director at Zigup PLC, a FTSE 250-listed vehicle hire firm formerly known as Redde Northgate. At Smiths News, Clay replaces Paul Baker, whom the company back in March said is leaving "to join a large private business operating in a different sector".

PRS REIT PLC - real estate investment trust investing in UK private rented sector - Senior Independent Director Karima Fahmy will leave the board on September 1, with Non-Executive Director Steffan Francis promoted to senior director in her place. Fahmy joined the board in October 2023. She is leaving to relocate overseas for an executive position with an Abu Dhabi-listed company, PRS REIT said without naming the company. It says it won't be recruiting an additional non-executive director while its strategic review and formal sale process, which were launched in June, are underway. Last month, PRS REIT said it is in discussions with Long Harbour Ltd over a non-binding acquisition proposal. PRS REIT also on Monday declared a 1.1 pence dividend for the fourth quarter of its financial year, which ended June 30. This brought its total dividend for the year to 4.3p, up from 4.0p in financial 2024.

Caledonian Holdings PLC - investment company focused on financial services - Hires Keith Barclay as investment director, joining the board upon completion of due diligence. Most recently, Barclay was a senior investor at Business Growth Fund from 2015 to 2024. Prior to BGF, he was investment manager at Souter Investments.

Adnams PLC - Suffolk, England-based premium beer and spirits maker and pub chain - Hires Andy Driscoll as CFO, starting September 1. Driscoll has "significant financial leadership experience across [fast moving consumer products] and logistics sectors", Adnams says, serving as CFO at Constellation Cold Logistics, Valeo Snackfoods and Kettle Foods. After a handover, Interim Funding Director Robin Paul will depart. "Andy is a great fit for our business and will play a very important part as we continue our focus on growth and profitability," says CEO Jenny Hanlon.

TheWorks.co.uk PLC - Birmingham, England-based arts, crafts and stationery - Hires Nick Wharton as non-executive director, starting on Friday last week and replacing Harry Morley as senior independent director at the annual general meeting on September 8. Wharton was CEO of home furnishings store chain Dunelm Group PLC. He also served as CFO at retailers Pepco Group NV, Halfords Group PLC and Superdry PLC. He currently is a non-executive director of AG Barr PLC and Mears Group PLC.

Tissue Regenix Group PLC - Leeds, England-based regenerative medical devices - David Cocke retires on Friday as CFO. Brandon Largent, associate vice president of Finance, replaces him in the non-board position of interim CFO.

Helix Exploration PLC - helium exploration and development in the US state of Montana - Hires Keith Spickelmier to be non-executive chair, effective immediately. Spickelmier is co-founder & chair of Sintana Energy Inc, a Toronto-listed company with hydrocarbon assets in Colombia, Namibia, and Angola. At Helix, he replaces David Minchin, who has been executive chair since Helix was formed in September 2023.

Satsuma Technology PLC - London-based company focused on "convergence of bitcoin treasury strategy and decentralised AI" - Hires Scott Kaintz as interim CFO in a non-board capacity, while it continues to looks for a long-term CFO with expertise in decentralised finance. Kaintz has held both CEO and CFO roles and is "a longtime crypto enthusiast and early adopter", Satsuma says. Kaintz replaces Nick Lyth, who will leave after a transition and the completion of recent equity funding. "Ultimately, the requirements and time demands for our CFO following our raise would not have been compatible with Nick's other appointments," Satsuma explains. As TAO Alpha, the since renamed company raised GBP100 million from a convertible loan back in June.

Capital Metals PLC - developing Taprobane mineral sands project in Sri Lanka - Hires Aravinda De Silva and Savanth Sebastian as non-executive directors, starting immediately. De Silva is former captain of the Sri Lanka cricket team and since then invests in technology businesses via his family office. Sebastian was an economist at Commonwealth Bank of Australia and is a director of Ambeon Capital PLC, a 14% shareholder in Capital Metals following its USD2 million investment back in May.
