Keras Resources PLC - Surrey, England-based mine developer focused on West Africa and the US - Trading in its shares resumes after the publication of its financial results for the year to December 31. Revenue rises to GBP1.4 million from GBP1.1 million in 2024. Pretax loss widens to GBP3.3 million from GBP753,000. Additionally, agrees to acquire an initial 51% interest in Cornerstone Mining (Pty) Ltd. The company holds a portfolio of highly prospective copper exploration and development assets covering 6,214 hectares in Namibia's Kaoko Copper Belt. Alongside the investment, Keras agrees to dispose of its US phosphate business to significant shareholders Christopher Grosso and Joseph Carbone. The aggregate transaction consideration is GBP1.66 million, comprising USD1.0 million in cash together with the cancellation and unconditional release of amounts owed to the purchasers and Diane Grosso Credit Shelter Trust under existing convertible loan notes totalling GBP923,409. Keras will retain an uncapped royalty of USD10.00 per long ton of phosphate rock from Diamond Creek. Comments: "The proposed disposal restructures the Keras group balance sheet and brings in new capital while maintaining an exposure...The board views the proposed disposal as a reallocation of capital, not a change in its view of the underlying asset. It allows the US business to be funded outside Keras while preserving a direct economic interest in future production for Keras shareholders." Lastly, announces a conditional fundraise of GBP1.7 million through the issue of 85.0 million shares at 2 pence each, a 43% premium to the Keras share price immediately prior to its share trading suspension. The second tranche of 40.0 million shares is subject to shareholder approval. Additionally, certain directors and executives subscribe for an additional 5.0 million shares, raising GBP100,000. Adds: "Upon completion of the transactions and the fundraise Keras expects to be substantially debt free, with around GBP1.83 million cash in the bank, and with cash generative income streams derived from royalty agreements both from the previously divested manganese business and pursuant to the uncapped USD10 per long ton royalty over qualifying future Diamond Creek phosphate production expected to total around GBP50,000 per month.

Sealand Capital Galaxy Ltd - Asia-focused digital investment company - Enters into a conditional share purchase agreement for the acquisition of a 60% controlling interest in Finely Technology Holdings Ltd, a Cayman Islands-incorporated technology company with core operations in Hong Kong focused on enterprise software, cloud-native platforms, internet of things technologies and digital infrastructure solutions. For the year to March 31 2026, FT reports net profit of USD1.4 million on USD5.3 million in revenue. The total consideration, payable in cash and shares, is GBP12 million, implying a valuation of GBP20 million for 100% of FT. The consideration comprises: GBP6 million in cash, payable in instalments within six months of the date of the SPA, with any amount remaining unpaid at the end of that period may be satisfied through the issue of new ordinary shares at 1.2 pence each; and GBP6 million in shares to be issued at 1.2 pence each. Chief Executive Officer Siqi Cao says: "We see considerable opportunities to support FT's expansion into new markets and sectors, while also bringing its technology and expertise into the wider Sealand Group. We also believe FT's successful commercialisation of connected technology solutions in the two-wheeled electric vehicle sector provides a strong foundation from which to explore opportunities in the UK and European markets, where increasing focus on ESG and sustainable mobility may create further opportunities for the group."

Prospex Energy PLC - Europe-focused gas and power project investor - Operator Tarba Energia Sl installs a new electrical transformer at its Romeral gas-to-power plant in Andalucía, Spain, replacing a rental transformer. Says this reduces monthly operating costs by EUR14,000. The final instalment of EUR187,632 for the new transformer is payable 60 days after installation and will be funded from existing cash. CEO Tom Reynolds says: "I am delighted that the operation to swap out the rental transformer with its permanent replacement has been achieved safely and with minimum disruption to generation activity. The plant is now exporting electricity, supported by strong electricity pricing."

EMV Capital PLC - life sciences-focused investor - Newly formed wholly owned subsidiary Winalot BV acquires from members of Pryme NV the Pryme One plastic waste chemical recycling plant in Rotterdam. The plant is acquired for a non-disclosed consideration and does not constitute a substantial transaction under AIM rules, EMV says. "The acquisition represents a new Venture Build opportunity for EMV Capital, with the potential to create value both through Winalot and through the commercial deployment of technology developed by existing EMV Capital portfolio company, DeepTech Recycling Ltd," company adds. Winalot estimates that GBP6 million will be required to re-establish the plant and that commercial operations can recommence within 18 months.

ECR Minerals PLC - Australia-focused gold exploration and development company - Development drilling and blasting is now underway on the main decline, the downwards tunnel to access the ore body, at its 50%-held Maddens underground mine in North Queensland. Says this marks "an important step in the company's programme to commence gold production" during the fourth quarter of 2026. "The commencement of decline advancement follows a significant programme of underground enabling works, including upgrades to mine ventilation, establishment of escapeways, surveying and preparation of underground equipment. In parallel, refurbishment of the existing processing plant is progressing, including installation of a 20-inch Knelson concentrator," ECR says.

Iofina PLC - iodine producer - Signs agreements with an existing brine supply partner to develop the group's next two IOsorb plants, IO#13 and IO#14, in the central Oklahoma core area. "These two plants will be built concurrently, and groundwork is anticipated to start soon, with the IOsorb plants preliminarily scheduled to be operational before the end of [the first half of 2027]. This project will be the largest undertaking for the group in this core area, but otherwise the underlying characteristic of the plants will be consistent with recent IOsorb builds," company says, adding: "the group is confidently tracking to its production targets over the next couple of years and towards its objective of reaching 2000 metric tonnes of production per annum."

Mendell Helium PLC - helium producer in the US state of Kansas - Updates on its production wells in the Fort Dodge area, Kansas. Says following the successful implementation of its de-watering approach, observes initial gas-bearing fluids at the surface of the Rost 2-26 well, with gas analyses showing helium concentrations of up to 10.9%. Additionally, says Rost 1-26 has resumed production following scheduled downhole maintenance and tubing replacement work. The Schneweis Ventures 13A well has also commenced production, where gas is being delivered without the use of a pump directly into a pipeline owned by joint venture partner Ritchie Exploration Inc.

Tertiary Minerals PLC - mineral development company focused on deposits in the US, Zambia and northern Europe - Updates on its 100%-owned Storuman Fluorspar Project following the implementation of Sweden's new mineral strategy that designates critical minerals, including fluorspar, to be of national security interest. In 2016, the project was granted a 25-year mining permit, but it was overturned in 2017. The project has been under appeal since. Tertiary's latest appeal was submitted in early 2025. Tertiary is awaiting a decision on the most recent appeal. Says "while it considers the recent mineral strategy to be positive, it has not been informed of any additional information regarding a likely time-frame for, or the likely result of, the appeal."
