EARNINGS AND TRADING: Capita adjusted earnings down on contract error

Volution Group PLC - Crawley, England-based energy efficiency and indoor air-quality solutions provider - Announces acquisition of Monchengladbach, Germany-headquartered getAir GmbH, which provides decentralised residential heat recovery ventilation systems to original equipment manufacturers, mainly in Europe. Consideration totals EUR40 million upon completion. Volution is funding the deal through its existing debt facilities. It expects the transaction to be "immediately earnings accretive" and to provide "additional inorganic revenue momentum for our new financial year." "The acquisition further strengthens our residential heat recovery portfolio, while also enhancing our product development and innovation capabilities," Volution Chief Executive Ronnie George comments.

Capita PLC - London-based outsourcing and business services provider - Reports revenue of GBP948.3 million for the first half of 2026, down 1.3% from GBP960.5 million the year before. Adjusted revenue rises 1.6% to GBP906.4 million from GBP892.2 million. Statutory pretax profit more than doubles to GBP4.1 million from GBP1.7 million, but adjusted pretax profit falls 57% to GBP12.5 million from GBP29.1 million. Adjusted operating profit falls 32% to GBP32.2 million from GBP47.1 million, while adjusted earnings before interest, tax, depreciation and amortisation fall 20% to GBP32.2 million from GBP47.1 million. Capita notes additional costs incurred on its Civil Service Pension Scheme contract, having in early July warned of an up to GBP40 million adjusted operating profit hit for 2026 after missing a ministerial deadline on delivering the full terms of the GBP239 million deal. On Tuesday, it also notes that it secured a total contract value of GBP998.1 million during the first half, up 15% from GBP870.8 million. "While the operational challenges on the Civil Service Pension Scheme remain our immediate priority, we are confident that we have the right processes, technology and leadership in place to achieve service levels and deliver for members," CEO Adolfo Hernandez says. "Looking ahead, our focus is on maintaining our momentum by accelerating the adoption of AI across our operations, delivering further efficiencies, converting our strong pipeline into sustainable growth and continuing to strengthen cash generation." Capita reiterates that it expects to be free cash flow-positive in 2027.

Caledonia Investments PLC - London-based investor in public and private companies - Acquires a 61% majority stake in Conquip Engineering Group Holding Co Ltd for GBP49.5 million. Conquip provides products and solutions to increase productivity and efficiency, and improve sustainability, for clients in the infrastructure, utilities, energy and built environment sectors. "Caledonia will partner with management to support Conquip's continued development, including increasing penetration with existing customers, expanding geographic coverage, investing in the rental fleet, scaling its shoring proposition, developing new products and pursuing selective acquisitions," the company says.

Seraphim Space Investment Trust PLC - London-based investor in 'SpaceTech' companies - Announces its first capital deployment through its GBP137 million C Share issue, with follow-on investments of USD25 million in Pixxel and USD3.6 million in Zeno Power. Both are existing portfolio companies. Pixxel "is building and operating what it believes to be the world's highest-resolution commercial hyperspectral Earth observation constellation," and "has evolved from a hyperspectral satellite company into a vertically integrated space infrastructure business with operations in both the US and India" since Seraphim's 2022 investment. Zeno "is developing commercial radioisotope power systems that provide reliable, long-duration energy in environments where conventional power sources are impractical," and has won contracts with Nasa, the US Navy and the US Space Force. "We continue to make good progress deploying the C share proceeds across an attractive pipeline of investment opportunities and remain on track to achieve our objective of initiating a partial conversion of the C shares into ordinary shares following the end of the current quarter," says CEO Mark Boggett.

Templeton Emerging Markets Investment Trust PLC - investment trust - Says its multi-currency revolving loan facility with the Bank of Nova Scotia's London branch has increased to GBP150 million as of July 23, from GBP122 million. Facility remains a rolling agreement with the option to terminate after one year, and commercial terms will be reviewed every three years. Templeton Emerging, which has no other debt, says current drawings under the facility are GBP79.7 million, CNH300 million (GBP33.0 million) and USD50 million.

Alfa Financial Software Holdings PLC - London-based provider of software to automotive finance providers - Senior Independent Non-Executive Director Christopher Sullivan sells 200,000 shares at an average of 164.96 pence, for approximately GBP329,920, on Monday in London. Comprises two disposals, the first of 164,595 shares at 164.20p, the second of 35,405 shares at 165.72p.
