(Alliance News) - Beowulf Mining PLC on Monday warned it could be forced to appoint administrators after a proposed strategic investment appeared unlikely to proceed, prompting the suspension of trading in its shares.
The mineral exploration and development company said it had requested the suspension of trading in its shares on London's AIM market and Sweden's Spotlight Stock Market amid uncertainty over a proposed investment by Bacchus Capital & Affiliates and its financial position.
Beowulf said Sweden's Inspectorate of Strategic Products had requested a signed, valid agreement confirming the investment would be completed in the near term, after the original agreement expired on September 30.
However, Bacchus Capital has reiterated that it cannot extend its funding commitments for an uncertain period while the Swedish regulator completes its review.
Beowulf said it now expects the regulatory review to end, if it has not already, meaning the proposed strategic investment is unlikely to proceed.
The company also warned of "material uncertainty" about its ability to secure interim funding, which it previously said it needed within a month of September 10 to maintain operations.
Although it has received indications of support, it has not finalised any definitive funding agreements.
Given its limited cash resources, Beowulf said it is reviewing alternative financing options, including selling or partially selling assets and subsidiaries.
"There can be no certainty that such actions will lead to the sufficient funding being obtained," the company warned.
It added: "In the absence of successfully concluding a fundraising, the Board may have no alternative but to take measures to protect creditors which may include the appointment of administrators."
Beowulf also noted that suspending trading for three consecutive days could constitute an event of default under its arrangements with Alumni.
In a separate statement, Bacchus Capital confirmed that it expects the Swedish regulatory review to end and the proposed investment not to proceed.
The investor said it had satisfied all other conditions for the transaction, including shareholder approval and a waiver from the UK Takeover Panel, before the original agreement expired.
Bacchus Capital said entering into a new agreement would effectively require it to underwrite financing indefinitely, which it could not do.
