Shareholders' Consultation Regarding the Draft Amendment of the Company's Articles of Association

Electrica SA invites its shareholders on July 15th, 2022, at 10:00 (Romania time), at its headquarters, Grigore Alexandrescu Street no. 9, sector 1, Bucharest, conference room "Radu Zane", to the workshop dedicated exclusively to proposals for amending the Articles of Association of the company.

The purpose of the workshop is to clarify any questions formulated by the shareholders regarding the proposals for amending the Articles of Association, as well as to increase their commitment to this project.

Shareholders interested in participating in the workshop are asked to confirm their participation until July 14, 2022, at 16:30 (Romania time), at the e-mail address: [email protected]. For those who wish to participate online and have confirmed their participation by the mentioned deadline, the login details will be made available by email.

The shareholders are welcome to ask questions in writing, in Romanian or in English, regarding the proposals for amending the Articles of Association. The questions should be sent either: (i) by e-mail to the address: [email protected], or (ii) in physical format (personally or by post / courier services with acknowledgment of receipt), to the Company's Registry, so as to be received by the Company until July 13, 2022 inclusive, with the clear written mention "QUESTIONS REGARDING THE MODIFICATION OF THE ARTICLES OF ASSOCIATION OF ELECTRICA S.A. ".

We remind you that starting with February 2022, Electrica has started the process of consulting the shareholders regarding the amendment of the Articles of Association, and the proposals for amendment are found on the company's website, along with the Articles of Association, in the forms proposed by the Board of Directors of the Company, by accessing the following link:
