Sub.: Withdrawal of Scheme of arrangement

The Company had submitted an application to the Hon'ble Bombay High Court in April 2009 for internal reorganization of some of its businesses between the Company and its 100% owned subsidiaries, which was pending for implementation.

In view of inter alia the considerable lapse of time of nearly 2 years and subsequent changes in the business environment, the proposal is no longer considered relevant and has been withdrawn today with the approval of the Hon'ble Bombay High Court. There is no impact on the profitability or business of the Company.
