Re: Matomy Announces Withdrawal of the Petition

Pursuant to Section 350 of the Israeli Companies Law

Further to the announcements made by Matomy Media Group Ltd. (LSE: MTMY, TASE: MTMY.TA) (the "Company" or "Matomy") on August 13, 2020 (RNS Number: 0443W), regarding the submission to the Tel Aviv-Jaffa District Court (the "Court") of a petition pursuant to Section 350 of the Israeli Companies Law (the "Petition"), requesting the Court (i) to approve the convening of separate meetings of its creditors and shareholders, in order to approve an arrangement between the Company and its creditors and shareholders (the "Arrangement"); and (ii) to approve the schedule of the proposed Arrangement, the Company hereby announces that the Company's board of directors (the "Board") decided today to withdraw the Petition, since the Board, following a further consideration, is in the opinion that the Company may be required to submit a substantially different arrangement between the Company and its creditors and shareholders than the submitted Arrangement. Following the submission of the request to withdraw the Petition, the Court dismissed the Petition.
