VOTING RIGHTS AND CAPITAL STRUCTURE

In accordance with Disclosure and Transparency Rules 5.6.1 and 5.6.1A, the market is notified of the following:

Following the Share Capital Consolidation announced on 26 January 2016 becoming effective at 8.00 a.m. today, the share capital of Melrose Industries PLC now consists of 145,134,353 ordinary shares of 48/7 pence each with each share carrying the right to one vote.

Melrose Industries PLC holds no ordinary shares in treasury.

Therefore, the total number of voting rights in Melrose Industries PLC as at 28 January 2016 is 145,134,353.

The above figure (145,134,353) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Melrose Industries PLC under the FCA's Disclosure and Transparency Rules.
