VOTING RIGHTS AND CAPITAL

Chippenham, UK, 1 October 2015: In accordance with the Financial Conduct Authority's Transparency Directive, Transitional Provision 6, Vectura Group plc (LSE: VEC) ("the Company") wishes to notify the market of the following:

The Company's issued share capital as at 30 September 2015 consisted of 406,996,735 ordinary shares (previously 406,547,472 ordinary shares as at 31 August 2015). The Company does not hold any ordinary shares in Treasury.

Therefore, the total number of ordinary shares in the Company with voting rights is 406,996,735.

The above figure of 406,996,735 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
